INTEGRAL WORKS, LLC — STANDARD TERMS OF SERVICE

Welcome to Integral Works, LLC. By requesting, authorizing, or purchasing mobile mechanical, technical installation, smart home configuration, or structural facility maintenance services from Integral Works, LLC ("Company", "We", "Us"), the Customer ("Client", "You") explicitly agrees to be legally bound by the following Terms of Service.

1. Scope of Mobile Services Integral Works, LLC provides on-site, mobile operational services across multiple technical disciplines. Estimates provided to the Client outline the specific scope of visual and mechanical work to be executed. Any additions or modifications to the scope of work requested on-site will be billed additionally.

2. Mobile Base Trip Fees and Diagnostics All mobile dispatch requests are subject to a non-refundable Base Trip Fee / Diagnostic Assessment Fee. This fee covers fuel, logistics, and the initial on-site physical evaluation. The Base Trip Fee is fully earned upon the Company’s dispatch to the Client's site and is due regardless of whether subsequent mechanical or physical repairs are authorized or executable due to structural or vehicular limitations.

3. Material Sourcing & Markup All parts, hardware, fixtures, electronics, brackets, and raw materials procured by Integral Works, LLC on behalf of the Client are subject to standard retail sourcing markup to cover logistics, pickup time, and transport. Items or parts provided directly by the Client for installation are subject to zero operational warranty by Us.

4. Emergency Repairs & Temporary Classifications The Client acknowledges that certain field-level services, including but not limited to exterior tire string plugs, are classified by industry standards and regulatory bodies exclusively as temporary emergency repairs. Such services are provided solely to allow a vehicle to travel safely to a static, full-service facility for internal inspection or complete component replacement. The Client assumes all operational risks if a temporary fix is driven on long-term.

5. Absolute Disclaimer of Warranties All services, technical modifications, structural assemblies, and repairs are provided strictly on an "AS-IS" and "AS-AVAILABLE" basis. Integral Works, LLC explicitly disclaims all warranties of any kind, whether express or implied, including but not limited to any implied warranties of merchantability, durability, safety, mechanical structural integrity over time, or fitness for a particular driving or operational purpose.

6. Strict Limitation of Liability To the maximum extent permitted by applicable law, in no event shall Integral Works, LLC, its members, operators, or employees, be held liable for any direct, indirect, incidental, special, consequential, or punitive damages. This includes, but is not limited to: Vehicle damage, structural failures, electrical shorts, tire deflation, or blowouts following a mobile intervention. Incidental towing, roadside assistance, travel delays, alternative transport costs, or loss of project use. Personal injury, vehicular accidents, or property damage resulting from subsequent operations of vehicles or facilities serviced by Us.

7. Indemnification The Client agrees to indemnify, defend, and hold completely harmless Integral Works, LLC and its operational staff from and against any and all third-party claims, lawsuits, liabilities, financial losses, or expenses (including reasonable attorney's fees) arising directly or indirectly out of the use, operation, modification, or failure of any vehicle, smart home infrastructure, or structural system serviced under this agreement.

8. Governing Law These Terms of Service and all business interactions shall be governed by, interpreted, and enforced in accordance with the laws of the State of South Carolina. By paying an associated invoice, authorizing an estimate, or receiving an Integral Works, LLC field representative on-site, you confirm your full legal acknowledgment and binding acceptance of these terms.
